Real Estate
VanOlde assists real estate investment funds, (institutional) real estate investors, developers, financial institutions and hotel operators in the areas of corporate income tax, VAT, RETT, and transfer pricing. We offer integrated advice within the following main areas of expertise.
1. Transactions
We assist with hands-on buy- and sell-side assistance on all Dutch tax aspects of real estate transactions and in respect of all asset classes (including offices, residential, logistics and retail). We conduct tax DDs, prepare transaction documentation (share and asset deals) and assist with all tax aspects required to successfully close real estate transactions. We work together closely with the best notaries and real estate lawyers in the Netherlands with whom we maintain close working relationships.
2. Structuring
We assist with setting up efficient and robust investment structures that are aimed at preventing double taxation and being compliant with Dutch and international tax rules. Our clients are (international) investors, real estate investment funds and anyone else investing in Dutch real estate assets.
3. Investment funds
We advise on all Dutch tax aspects of Dutch and foreign real estate investment funds and their participants. We have specific knowledge of the Dutch tax aspects of real estate fund regimes, such as Dutch FBIs, US REITs, German Sondervermögen and French OCPIs. Our expertise includes advising on setting up real estate funds, drafting tax paragraphs in fund documentation, setting up investment structures for specific funds and setting up incentive schemes for fund managers.
4. Redevelopment and transformation
We provide pragmatic advice on tax aspects of (re)developments and transformations. For such projects, we analyse tax risks, advise on tax opportunities and ensure that our advice is correctly implemented. Where needed, we assist with obtaining tax rulings from the Dutch tax authorities.
5. Tax returns / compliance
We have specific experience with preparing Dutch tax returns for real estate owning taxpayers. We prepare corporate income tax, VAT, WHT and RETT returns. Where necessary, we assist with answering questions of the tax authorities about tax returns that were filed and, if necessary, we assist with respect to tax audits that are conducted by the tax authorities. We also prepare transfer pricing benchmark reports and DAC6 filings.
